Terms of use
Last updated: 19 October 2026
These terms are the agreement between Cellari and the winery that uses it. Please read them. If anything is unclear, write to us at [email protected] before you start.
1. Who we are, and who these terms bind
- Cellari is a system for managing wine production. It is operated by an exempt dealer (עוסק פטור) registered in Israel (“Cellari”, “we”, “us”).
- The customer is the winery or business that opens a Cellari account (“the winery”, “you”).
- A user is any person the winery lets into its account, including the owner who opened it.
The person who opens the account confirms that they may act for the winery. The winery is responsible for its users and for what they do in the account.
Cellari is for businesses only. By accepting these terms you confirm that the winery uses Cellari for its business, not for personal or household use.
The first time each user signs in, Cellari shows these terms and the privacy policy and asks the user to accept them. Acceptance by the winery owner (or the first user who opens the account) binds the winery. Each user’s acceptance covers their own use. We keep a record of who accepted which version, and when.
A signed agreement comes first. If the winery signed a separate agreement with us, such as a pilot agreement, the separate agreement wins over these terms wherever they conflict.
2. The service
Cellari helps a winery record and follow its work: harvest intake, batches, vessels, measurements, additions, lab tests, blends, bottling, inventory and traceability. It also includes calculators, AI features (section 7) and a way to contact support.
We keep improving Cellari, so features change. If we remove a main feature your winery relies on, we will tell you at least 30 days ahead, unless the reason is legal or a security risk; then we will tell you as soon as we can. Whenever we remove such a feature, you may cancel, and we will refund the unused part of any amount paid in advance.
The website and the free calculators at www.cellari.app can be used by anyone, without an account. Their results are estimates: check every figure before you act on it. Sections 6, 8, 10, 12 and 14 apply to website visitors too.
3. Accounts and users
- Each user signs in with their own account. Do not share sign-in details. You are responsible for keeping them safe.
- The winery owner decides who gets in and with which role. The owner can change or remove access at any time.
- Tell us right away at [email protected] if you think someone got into the account without permission.
- You must be at least 18 to use Cellari.
4. Plans and payment
- Plans (מסלולים): each plan has a price, features and limits (for example how many batches or vessels). They are listed in the app or in the offer we send you. If you reach a limit, you can move to a larger plan.
- Prices are in Israeli shekels. Cellari is operated by an exempt dealer (עוסק פטור), so no VAT is charged, and we issue a receipt.
- Renewal: you pay in advance for each billing period (monthly or yearly). Your plan renews automatically for the same period until you cancel.
- Late payment: if a payment does not go through, we will tell you and give you time to fix it. If it is still unpaid 5 days after the period ends, the account may become read-only: you can see and export your records but not add new ones. If it stays unpaid, we may suspend the account after another written notice. Your records are not deleted because of late payment, except as section 11 says.
- Price changes: a new price applies to you only from the first billing period that starts at least 30 days after we tell you about it. If you do not agree, you can cancel before it applies.
- Refunds: the winery can cancel at any time. Cancellation takes effect at the end of the period already paid for. Amounts already paid are not refunded, except where these terms say otherwise.
5. Your winery’s data
- Your data belongs to you. Everything the winery and its users enter or upload into Cellari belongs to the winery.
- What you allow us to do with it: store, process, back up and show it, only so we can provide the service and support you. We do not sell it and we do not use it for advertising.
- Statistics: we may create statistics about how Cellari is used. They do not include names, contents, measurement values or prices, but they do include internal IDs that only we can link back to a winery or a user. We publish statistics, or share them with anyone other than the service providers listed in the privacy policy, only when no winery and no person can be identified from them. For example: “how many wineries recorded a racking this week”. The privacy policy explains how.
- Your responsibility for what you enter: you confirm that you may enter the information you enter, including details of other people such as growers, customers or employees, and you are responsible for telling those people what you record about them and why, as the Privacy Protection Law requires.
- Export: at any time, and for 90 days after the account closes, you can ask us for a copy of the winery’s records in a common format (for example CSV or JSON).
- Backups: we keep backups, but Cellari should not be your only copy of records the law requires you to keep. We recommend exporting regularly.
5A. Personal information we process for the winery
For personal information the winery keeps in Cellari, the winery is the database controller (בעל שליטה במאגר מידע) and we are a holder (מחזיק) processing it for the winery. We commit to:
- process it only to provide the service and to produce the statistics described in section 5, and according to the winery’s instructions;
- keep it confidential, and let only people who need it for the service or support see it;
- secure it as the Privacy Protection (Data Security) Regulations, 5777-2017, require;
- tell the winery without delay about any security incident that affects its information;
- refer to the winery any request we receive from a person to see, correct or delete their information, give that person the winery’s contact details, tell the winery about the request, and help the winery answer it;
- use only the sub-processors listed in the privacy policy, and give notice before adding a new one;
- bind every sub-processor in writing to the same duties as this section, and make sure everyone at Cellari who can see the information has committed to keep it confidential;
- at the end, return the information by export and delete it as section 11 says;
- report to the winery, on request and at least once a year, on how we meet these duties.
6. Acceptable use
Do not:
- use Cellari against the law, or to store content you have no right to store;
- try to reach another winery’s records, or get around limits, roles or security;
- copy, sell or resell the service, or take it apart to learn how it is built, except where the law allows;
- overload the service on purpose, or use automated tools in a way that harms it;
- upload malicious software.
If you break these rules, we may limit or suspend access as section 11 says.
7. AI features
Some features use artificial intelligence (AI): for example “Fill using AI”, which fills a form from text, a file or a photo, and the AI importer, which reads spreadsheets, PDFs and photos.
- The AI result is a suggestion. It can be wrong. Nothing is added to the winery’s records until a user checks it and saves it, and the winery is responsible for what is saved.
- The content you choose is sent to the AI provider to produce the result (see the privacy policy).
- Plans may limit how much AI can be used.
8. Your records and your legal obligations
Cellari is a tool for keeping records and making calculations. It does not replace legal, regulatory or professional winemaking advice.
- The winery is responsible for checking that its records are correct, and for meeting its own legal obligations. These include reporting to the Tax Authority (including purchase tax, where it applies), labelling, kashrut, food safety and export requirements.
- The calculators, reminders and alerts are aids. Check every figure before you act on it, especially doses of additions such as sulfites.
9. Availability and support
- We work to keep Cellari available and working, but we do not promise that it will never be interrupted or never have errors. There may be maintenance, faults, and outages at the outside services we rely on.
- When there is no internet, some actions can be saved on the device and synced later. Until they sync, they exist only on that device.
- Support is by email, in-app support requests, phone and WhatsApp, on Sunday to Thursday, 9:00 to 17:00 Israel time. We aim to answer within one business day.
10. Intellectual property and feedback
- Cellari’s software, design, texts and brand belong to us. While these terms apply, the winery gets a limited, personal right to use Cellari for its own business. That right cannot be transferred to anyone else.
- If you send us suggestions or feedback (משוב), we may use them to improve Cellari, and we owe nothing for it.
11. Cancellation, suspension and closing the service
- You can cancel at any time in the app or by writing to us. Cancellation takes effect at the end of the paid period.
- We may suspend or end access if the winery commits a material breach of these terms, or does not pay after notice (section 4). We will warn you in writing first and give you a reasonable time to fix the problem. We act without warning only when we must: to prevent real harm to the service or to other wineries, or to prevent a breach of the law. If we end access for a reason that is not the winery’s breach, we will refund the unused part of any amount paid in advance.
- After the account closes, the records stay available for an export for 90 days. We will email the winery owner at least 14 days before the records are deleted. After that they are deleted, including from backups as they are replaced.
- If we stop providing Cellari, we will tell you at least 60 days ahead, let you export your records, and refund the unused part of any amount paid in advance.
12. Liability
- Cellari is provided as it is. As far as the law allows, we do not promise that it fits every need of your winery.
- As far as the law allows, our total liability for any claim connected with Cellari is limited to the greater of: the amount the winery paid us in the 12 months before the event that caused the claim, and ₪5,000.
- As far as the law allows, we are not liable for indirect damage, such as lost profit, lost business, or damage caused by a decision made from records that were entered incorrectly.
- These limits do not apply to damage we caused on purpose or by gross negligence, or where the law does not allow liability to be limited.
- The winery is liable for damage caused by breaking section 6 or its confirmation in section 5, including claims by people whose details it entered.
13. Changes to these terms
We may update these terms. If a change matters, we will tell the winery by email or in the app at least 30 days before it takes effect. If you do not agree, you can cancel before the change takes effect. The old terms then keep applying to you until the end of the paid period. If you do not cancel, using Cellari after the change takes effect means you accept it.
14. General
- Law and courts: Israeli law applies to these terms. The competent courts in Israel may hear disputes about them.
- Transfer: we may transfer these terms, and the service, to a company we set up to run Cellari, or to whoever takes over the business, as long as your rights under them do not shrink. We will tell you. The winery may transfer its account only with our written consent.
- Notices: we send notices to the email address of the winery owner’s account. You send notices to [email protected].
- Language: these terms are published in Hebrew and English. If they differ, the Hebrew version applies.
- If a court finds part of these terms invalid, the rest stays in force.
